    1. Acceptance of Terms

    By accessing or using the services provided by Agencia Jaguar Marketing LTDA DBA Jaguar Systems ("Jaguar Systems", "we", "our", or "us"), and by completing a purchase or submitting your onboarding form, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, including the Refund & Cancellation terms below. If you do not agree, you may not access the website or use any services. Where a checkbox or acceptance prompt is presented at checkout, checking it constitutes your affirmative agreement to these Terms.

    2. Definitions

    • "Services": the digital marketing and web solutions we provide, described in Section 3.
    • "Subscription": a recurring monthly plan (e.g., Contractor Advanced).
    • "One-Time Service": a service billed once (e.g., Google Business Profile Optimization).
    • "Prepaid Plan": a committed-term plan (e.g., 3, 6, or 12 months, or longer) paid once, upfront, at a discounted rate granted in consideration of your commitment to the full term.
    • "Onboarding Form": the intake form we provide for you to submit your business information, materials, and access.
    • "Work Commenced": the earlier of (a) your submission of the Onboarding Form, or (b) your provision of the information, materials, or account access needed for us to begin.

    3. Services Description

    Jaguar Systems provides digital marketing and web solutions tailored for contractors, including:

    • Website Design & Hosting: custom website design and reliable hosting, included in our marketing packages.
    • Contractor Advanced: our comprehensive subscription package at $297/month, including the custom website, automated follow-up (SMS + email), Missed Call Text Back, 5-Star review funnel, one-click marketing campaigns, on-site SEO, hosting, SSL, and support.
    • Google Business Profile Optimization: a One-Time Service to set up and optimize your Google Business Profile.
    • Marketing Automation and Reputation Management as part of the system.
    • Prepaid Plans: committed-term plans (for example, 3, 6, or 12 months, or longer) paid once, upfront, at a discount granted in consideration of the longer commitment. Promotional offers (for example, a free first month) apply exactly as described at the time of purchase.

    4. Payment Terms

    Subscriptions operate month-to-month with no long-term contracts and no setup fees, and are billed automatically each month in advance at the rate shown at checkout. One-Time Services are billed once. You authorize us to charge your payment method on a recurring basis until you cancel in accordance with Section 6. Promotional pricing applies only as described at purchase; standard rates apply thereafter.

    5. Onboarding, Client Responsibilities & Delivery

    Our Services are custom and performed specifically for you. To enable delivery, you are responsible for:

    • Providing accurate, up-to-date business information.
    • Submitting the Onboarding Form and responding to requests for information or approvals in a timely manner.
    • Providing necessary content, photos, branding materials, and required account access (including Google Business Profile admin access where applicable).

    Work begins automatically and immediately upon our receipt of your submitted Onboarding Form. At that moment, Work has Commenced (see Section 2) and the current billing period becomes non-refundable as described in our Refund & Cancellation Policy. You expressly acknowledge and agree to this by submitting the Onboarding Form. We target delivery of your website and system within approximately 14 days after receiving what we need from you.

    6. Refund & Cancellation

    Refunds and cancellations are governed by our Refund & Cancellation Policy, available at https://jaguarsystems.online/refund-policy, which is incorporated into these Terms by reference. In summary: payments are fully refundable if you cancel before Work Commences (before submitting your Onboarding Form); once Work has Commenced, the payment for the current billing period is non-refundable; One-Time Services and discounted Prepaid Plans are non-refundable for the committed term once work has Commenced; and you may cancel future renewals at any time.     7. Chargebacks & Payment Disputes

    If you have a billing concern, you agree to contact us first at billing@jaguarsystems.online or WhatsApp +1 855-917-5139 so we can resolve it directly. Initiating a chargeback or payment dispute (a) without first contacting us, or (b) for Services that were delivered and used, is a breach of these Terms. In such an event, we will submit to your card issuer the records of your agreement to these Terms, your Onboarding Form submission, and evidence of the delivered and used Services, and we reserve the right to recover amounts owed, including reasonable costs of collection.

    8. Intellectual Property

    The website designs, marketing systems, and proprietary software provided by Jaguar Systems remain our intellectual property. Upon full payment of your fees, you are granted a non-exclusive license to use the provided assets for your business. Client-provided content and materials remain the property of the client.

    9. Limitation of Liability

    In no event shall Agencia Jaguar Marketing LTDA DBA Jaguar Systems, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of, or inability to access or use, the Services.

    10. SMS Communications

    By providing your phone number and consenting to receive SMS messages, you agree to receive transactional and/or marketing text messages from Agencia Jaguar Marketing LTDA DBA Jaguar Systems. You may opt out at any time by replying STOP. Message & data rates may apply.

    11. Changes to These Terms

    We may update these Terms from time to time. The version in effect at the time of your purchase governs that purchase. Continued use of the Services after changes constitutes acceptance of the updated Terms.

    12. Governing Law

    These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Agencia Jaguar Marketing LTDA is registered (Brazil), without regard to its conflict-of-law provisions.
